LOVE DC® FUN-RAISING PROGRAM
PARTNER TERMS & CONDITIONS
1. Acceptance of Terms
These Partner Terms & Conditions (the “Terms”) govern participation in the LOVE DC® Fun-Raising Program (the “Program”). By submitting an application, creating or activating a Program account, clicking an acceptance checkbox, or participating in the Program, the applicant and the organization it represents (“Partner,” “you,” or “your”) acknowledge that they have read, understood, and agree to be bound by these Terms and any Program policies incorporated by reference.
If you accept these Terms on behalf of an organization, you represent and warrant that you are authorized to bind that organization. If you do not agree to these Terms, do not create an account or participate in the Program.
2. Program Purpose and Eligibility
The Program is designed to provide eligible local organizations with an additional way to generate financial support by referring customers to qualifying LOVE DC® merchandise. Participation is currently limited to approved nonprofits, Main Streets, Business Improvement Districts (BIDs), community organizations, local initiatives, and other organizations based in Washington, D.C. and select surrounding areas as determined by LOVE DC®.
Submission of an application does not guarantee acceptance. LOVE DC® may approve, deny, suspend, or terminate an application or account in its reasonable discretion, including where an applicant does not meet geographic, organizational, brand-safety, compliance, or Program requirements.
3. No Fee to Apply or Participate
There is currently no application or sign-up fee to participate in the Program. Unless separately agreed in writing, Partners are not required to purchase or maintain merchandise inventory to participate. Partners are responsible for their own costs associated with promoting their referral link, receiving payments, taxes, technology, personnel, or other participation expenses.
4. Referral Links, QR Codes, and Attribution
Approved Partners receive a unique referral link and/or QR code. Partners must use the tracking tools assigned or approved by LOVE DC® for purchases to be attributed to their account.
When a prospective customer accesses LOVE DC® through a Partner’s qualifying referral link or QR code, eligible purchases made within the following 30 days may be attributed to that Partner, subject to the Program’s tracking technology, attribution rules, exclusions, and these Terms.
LOVE DC® does not guarantee that every visit, click, scan, or purchase will be successfully tracked. Tracking may be affected by cookie settings, browser restrictions, privacy tools, device changes, customer actions, technical interruptions, or other circumstances outside LOVE DC®’s reasonable control. LOVE DC®’s records will control in determining Program attribution and commissions, absent manifest error.
5. Qualifying Purchases and Commissions
Partners earn commissions only on qualifying purchases properly attributed to their Program account. The applicable commission rate will be disclosed to the Partner upon approval or otherwise displayed in the Partner’s account or Program materials.
Unless LOVE DC® states otherwise in writing, commissions are calculated on eligible net merchandise revenue actually received by LOVE DC®, excluding sales or use taxes, shipping and handling, discounts, refunds, returns, chargebacks, cancellations, fraudulent transactions, disputed transactions, gift-card value, and other excluded amounts.
LOVE DC® may establish different commission rates, promotional rates, product exclusions, or special campaign terms. No minimum earnings or level of revenue is guaranteed.
6. Returns, Refunds, Cancellations, and Adjustments
A commission is not final until the applicable return, refund, cancellation, and chargeback period for the underlying transaction has expired. If an order is canceled, refunded, returned, charged back, determined to be fraudulent, or otherwise becomes ineligible, the associated commission may be canceled, withheld, reversed, or deducted from current or future amounts owed to the Partner.
7. Payment Method and Timing
Partners may identify their preferred available payment method in their Program application. Available methods may include Venmo, PayPal, Cash App, check, bank transfer, or other methods approved by LOVE DC®. LOVE DC® may add, remove, or change available payment methods.
LOVE DC® currently processes Partner payments manually. Once the applicable refund period for a qualifying sale has ended and the commission has become payable, LOVE DC® will generally initiate payment on the following Monday through the Partner’s selected payment method. The date funds actually become available to the Partner may vary depending on the selected payment provider, banking system, holidays, processing delays, account restrictions, or other circumstances.
Partners are responsible for providing complete and accurate payment information and promptly updating it when necessary. LOVE DC® is not responsible for delays, failed payments, fees, or losses resulting from inaccurate information supplied by a Partner, restrictions imposed by a payment provider, or circumstances outside LOVE DC®’s reasonable control. LOVE DC® may reasonably withhold payment while investigating suspected fraud, Program violations, payment disputes, or account discrepancies.
8. Taxes and Partner Responsibilities
Partners are responsible for determining and satisfying all tax, reporting, registration, licensing, and other legal obligations arising from amounts they receive through the Program. LOVE DC® may request tax forms or other documentation and may withhold payments where reasonably necessary to comply with applicable law. Nothing in the Program creates an employment relationship between LOVE DC® and a Partner.
9. Promotional Materials and Design Support
LOVE DC® may provide approved Partners with posters, social media graphics, product images, QR-code materials, templates, copy, logos, and other promotional resources (“Program Materials”). Certain materials may be customized with a Partner’s unique referral link or QR code.
Program Materials remain the property of LOVE DC® or its licensors unless expressly stated otherwise. Partners receive a limited, non-exclusive, non-transferable, revocable license to use approved Program Materials solely to promote their participation in the Program during the term of their account.
Partners may not materially alter LOVE DC® trademarks, logos, product imagery, copyright notices, or Program Materials without prior written approval, except through customization features expressly provided by LOVE DC®.
10. Trademarks, Brand Use, and No Implied Endorsement
LOVE DC®, its logos, artwork, product designs, slogans, and related brand assets are valuable intellectual property. Participation in the Program does not transfer ownership of any LOVE DC® intellectual property.
Partners may not register, claim ownership of, sublicense, sell, misuse, or create confusingly similar marks, domain names, social-media identifiers, advertising accounts, or other assets incorporating LOVE DC® branding.
A Partner must not state or imply that it is an owner, employee, agent, exclusive representative, governmental endorser, or official sponsor of LOVE DC® unless LOVE DC® has expressly authorized that representation in writing. Likewise, LOVE DC® will not represent a Partner as endorsing LOVE DC® beyond the scope of the Partner’s voluntary participation in the Program.
11. Advertising, Disclosures, and Acceptable Promotion
Partners are responsible for ensuring that their promotion of the Program complies with applicable advertising, consumer-protection, privacy, email, social-media, fundraising, and other laws and platform rules. Partners must clearly and conspicuously disclose their financial relationship with LOVE DC® whenever a disclosure is required.
Partners may not use deceptive, misleading, false, defamatory, unlawful, discriminatory, infringing, spam-based, or fraudulent promotional practices. Partners may not make unapproved claims about LOVE DC®, its products, pricing, charitable impact, government affiliation, or the amount a Partner or other organization is guaranteed to earn.
Partners may share approved links and materials through channels such as websites, newsletters, email, social media, printed flyers, posters, events, and other lawful channels, subject to these Terms and any additional Program guidelines.
12. Partner Accounts and Security
Partners are responsible for maintaining the confidentiality and security of their Program account credentials and for activity occurring through their accounts. Partners must provide accurate application and account information and promptly notify LOVE DC® of unauthorized access, suspected fraud, organizational changes, or changes affecting eligibility.
13. Independent Relationship
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, franchise, fiduciary relationship, agency, employment relationship, or authority for either party to bind the other. The term “Partner” is used solely as a Program designation and does not create a legal partnership.
14. Program Changes and Modification of Terms
LOVE DC® may modify the Program, these Terms, commission rates, attribution rules, payment procedures, eligibility standards, available products, Program Materials, or other Program features from time to time. Where reasonably practicable, material changes will be communicated by posting updated Terms on the Program website, through the Partner account, or by another reasonable method.
Changes will apply prospectively from the effective date stated in the updated Terms, except where an earlier change is reasonably necessary to comply with law, prevent fraud or abuse, protect security, or address an urgent operational issue. Continued participation after updated Terms become effective constitutes acceptance of the revised Terms. If a Partner does not agree to revised Terms, its remedy is to stop participating and close its Program account.
No modification will retroactively eliminate a commission that was already finally earned and payable under the Terms in effect when it became final, except to correct an error, comply with law, address fraud or abuse, or resolve a return, refund, cancellation, or chargeback.
15. Suspension and Termination
Either party may end participation in the Program. LOVE DC® may suspend or terminate a Partner account immediately where reasonably necessary because of suspected fraud, unlawful conduct, misuse of intellectual property, deceptive advertising, material breach of these Terms, threats to customers or the LOVE DC® brand, loss of eligibility, or other material Program abuse.
Upon termination, the Partner must stop using Program Materials and LOVE DC® intellectual property except as otherwise permitted by law. Valid commissions finally earned before termination will remain payable subject to these Terms, while commissions connected to fraud, abuse, returns, refunds, cancellations, chargebacks, or other ineligible transactions may be withheld or reversed.
16. Program Availability; No Guarantee
LOVE DC® does not guarantee uninterrupted access to the Program, website, tracking systems, promotional materials, inventory, particular products, commission opportunities, or any specific level of sales, traffic, revenue, or fundraising results. LOVE DC® may discontinue the Program or any portion of it, subject to payment of commissions that were already finally earned and payable under these Terms.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROGRAM, PROGRAM MATERIALS, TRACKING TOOLS, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LOVE DC® DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOVE DC® AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR LOST FUNDRAISING OPPORTUNITIES ARISING FROM OR RELATING TO THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOVE DC®’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO THE PARTNER DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
19. Indemnification
To the extent permitted by applicable law, the Partner agrees to defend, indemnify, and hold harmless LOVE DC® and its owners, directors, officers, employees, contractors, affiliates, and agents from third-party claims, damages, liabilities, penalties, costs, and reasonable attorneys’ fees arising from the Partner’s unlawful conduct, material breach of these Terms, unauthorized advertising claims, infringement or misuse of third-party rights, misuse of LOVE DC® intellectual property, or violation of applicable law. This section does not require indemnification for losses caused by LOVE DC®’s own unlawful conduct to the extent such indemnification is prohibited by law.
20. Disputes, Governing Law, and Venue
These Terms are governed by the laws of the District of Columbia, without regard to conflict-of-law principles. Before filing a lawsuit, the parties agree to make a good-faith effort to resolve a dispute informally by providing written notice describing the dispute and allowing at least 30 days for discussion.
Unless the parties later agree in writing to a different lawful dispute-resolution procedure, any court proceeding arising from these Terms or the Program will be brought in a court of competent jurisdiction located in the District of Columbia, and each party consents to that venue and jurisdiction. This provision does not prevent either party from seeking appropriate emergency or injunctive relief concerning intellectual property, fraud, security, or other circumstances where immediate relief may be legally available.
21. Notices and Electronic Communications
Partners consent to receive Program-related notices electronically, including by email, through their account, or by notices posted on the Program website. Partners are responsible for maintaining a current email address and contact information. Electronic acceptance and records may be used to evidence agreement to these Terms to the extent permitted by law.
22. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later. A Partner may not assign or transfer its Program account or rights under these Terms without LOVE DC®’s prior written consent. LOVE DC® may assign these Terms in connection with a merger, reorganization, sale of assets, transfer of the Program, or similar business transaction.
These Terms, together with any incorporated Program policies, commission notices, and written campaign-specific terms, constitute the agreement governing participation in the Program and supersede prior inconsistent Program representations concerning the same subject matter.
